Paralegal - Private Markets Corporate Secretary

The Private Markets operation team needs to expand its corporate secretary capabilities for approximately 250 investment funds/entities which operate in various jurisdictions. The position includes the following activities:

 

  • Assisting with all aspects of  the corporate secretary related operations of our private equity investment funds/entities for the following jurisdictions: Liechtenstein, Luxembourg, Germany, UK, France, USA, Cayman and Guernsey;

  • Support organizing meetings of Board of Directors of investment funds/entities  This includes:

    • preparation of agenda items, board packs and follow up of action points;

    • ensuring that timetables are set and followed, that board packs are issued in a timely manner;

    • attendance of Board meetings and writing of corresponding minutes;


  • Support organizing general meetings of shareholders (e.g. Annual General Meetings) of investment funds/entities. This includes:

  • preparation of convening notices and proxies in cooperation with the service providers;

  • monitoring of the collection of proxies and follow up of action points resulting from the minutes of the meetings;

  • Coordinate the signing of documents relating to the day to day operations of investment funds/entities including circular board and shareholder resolutions;

  • Work closely with our internal and external service providers in various jurisdictions and liaise with notaries, lawyers and authorities;

  • Maintain all entity related information and keep our master data management system up-to-date;

  • Participate in projects contributing to the overall operating efficiency and effectiveness.

 




Requirements



  • Swiss commercial degree (or equivalent);

  • Minimum of 2 years relevant work experience preferably in a similar role in the Fund/Asset Management/Trust industry;

  • Excellent oral and written communication skills in English and German;

  • Proficiency in PowerPoint and Excel;

  • Hard working and entrepreneurial self-starter with an eye for detail;

  • Team Player with an open mind-set and a sense of humor as well as with good inter-personal and communication skills;

  • Strong desire to learn, succeed and develop within a role;

  • Excellent organizational skills with the ability to prioritize and work under pressure;

  • Competence to develop and maintain effective working relationships with colleagues both internally and externally;

  • Confidence to interact with stakeholders and colleagues at all levels.
